TERMS OF SALE

Preamble

These Terms of Sale govern the contractual relations between THELUCKYDEV, a SAS with a capital of 700 euros, registered in the Paris Trade Register under number 930 421 060, with its registered office at 60 Rue François Ier, 75008 Paris, and any professional client wishing to benefit from its services. These services are exclusively reserved for professionals acting within the scope of their business activity.

Services

  • •THELUCKYDEV offers the following services:
  • •Web development (showcase sites, web applications, e-commerce)
  • •Custom software development
  • •Technical consulting and support
  • •Maintenance and support

Quotes and Orders

All services are subject to a prior quote detailing the nature of services, price and deadlines. The quote is valid for 30 days. The order is final after written acceptance of the quote and payment of the agreed deposit.

Pricing and Payment

  • •Prices are quoted in euros excluding taxes. The applicable VAT is that in force on the date of invoicing.
  • •Payment terms:
  • •Deposit of 30% upon order
  • •Intermediate payments based on progress (if applicable)
  • •Balance upon delivery
  • •Payment deadline: 30 days from invoice date
  • •Late payment penalties: 3 times the legal interest rate + fixed indemnity of 40€

Deadlines and Delivery

Completion deadlines indicated in the quote are approximate. THELUCKYDEV commits to using all means to meet these deadlines but cannot be held responsible for delays due to circumstances beyond its control or delays in the provision of elements by the client.

Client Obligations

  • •The client agrees to:
  • •Provide all elements necessary for service completion
  • •Respond within a reasonable timeframe to validation requests
  • •Meet payment deadlines
  • •Guarantee they have the necessary rights to the elements provided

Intellectual Property

Transfer of intellectual property rights on deliverables only occurs after full payment. Until complete payment, THELUCKYDEV retains ownership of the developments made.

Warranty

THELUCKYDEV guarantees the conformity of deliverables with agreed specifications. The warranty applies for 3 months following delivery and covers the correction of blocking or major anomalies.

Limitation of Liability

THELUCKYDEV's liability is limited to the amounts actually received under the contract concerned. THELUCKYDEV cannot be held liable for indirect damages (loss of revenue, commercial prejudice, etc.).

Termination

In case of serious breach by either party of their obligations, the other party may terminate the contract by registered letter with acknowledgment of receipt after formal notice that has remained without effect for 30 days.

Confidentiality

The parties agree to keep confidential all information exchanged during their collaboration.

Applicable Law and Disputes

These Terms of Sale are subject to French law. In case of dispute, the parties will endeavor to find an amicable solution. Failing this, the courts of Paris shall have sole jurisdiction.
